These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Lewis Behr Consultants Pty Ltd, an Australian company ("Company," "we," "us," or "our"), governing your access to and use of the YourLawDocs website and services located at yourlawdocs.com (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
Age Requirement: You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
2. Description of Services
YourLawDocs is a legal document template generation platform that provides:
- NNN Agreement Templates - Non-Disclosure, Non-Use, and Non-Circumvention agreements designed for China manufacturing relationships
- Manufacturing Agreement Templates - Comprehensive contracts for outsourcing production to Chinese factories
- Purchase Order Templates - Professional bilingual purchase order forms
- Chinese Trademark Registration Assistance - Professional guidance and facilitation for registering trademarks with the China National Intellectual Property Administration (CNIPA)
- Add-on Services - Including lawyer review, Chinese company verification, and expedited processing
Each document template purchase includes a specified number of PDF generations (typically 3 per purchase), allowing you to customize and regenerate your documents as needed.

No Guarantee of Enforceability: While our documents are designed with the Chinese legal system in mind and include provisions such as CIETAC arbitration clauses, we make no representations or warranties regarding the enforceability of any document in any jurisdiction. Lawyer Review Add-on: The optional lawyer review service is facilitated through independent third-party legal professionals. Any attorney-client relationship formed through this service is between you and the reviewing attorney, not with Lewis Behr Consultants Pty Ltd.
4. User Accounts
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You may only maintain one account per person or business entity. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.
5. Purchases & Payments
Pricing: Prices are displayed in multiple currencies (USD, EUR, GBP, AUD, CAD, CNY) and may vary based on your location. All prices are subject to change without prior notice, though changes will not affect orders already placed.
Payment Processing: All payments are processed securely through Stripe. We accept major credit and debit cards. By making a purchase, you represent that you are authorized to use the payment method provided.
Taxes: Prices may not include applicable taxes. You are responsible for paying any taxes, duties, or other governmental assessments associated with your purchase, as determined by your jurisdiction.
Currency: The final charge will be processed in the currency displayed at checkout. Your bank may apply additional currency conversion fees for international transactions.
6. Refund Policy
Due to the digital nature of our products, refund requests are evaluated on a case-by-case basis.
When Refunds May Be Granted:
- Technical issues that prevent document generation and cannot be resolved by our support team
- Duplicate purchases made in error
- Service failures on our part
When Refunds Are Generally Not Available:
- After a document has been successfully generated and downloaded
- User error in form completion (you may use remaining credits to regenerate)
- Change of mind after purchase
- Documents that do not meet expectations not communicated prior to purchase
Trademark Services: For trademark registration services, the initial deposit is non-refundable once the trademark search has commenced. The remaining balance is refundable if you choose not to proceed after reviewing the search results.
To request a refund, contact us at support@yourlawdocs.com with your order details and reason for the request.
Australian Consumer Law: Nothing in this policy limits your rights under the Australian Consumer Law, including your rights to a remedy for services that fail to meet consumer guarantees.
7. Document Generation Credits
Each template purchase includes a specified number of PDF generation credits (typically 3 credits per template).
- Credits allow you to customize and regenerate your document multiple times
- Credits are non-transferable between accounts or templates
- Credits do not expire while your account remains active
- Additional credits may be purchased for templates you already own
- No refunds are provided for unused credits
8. Trademark Registration Services
Our Chinese Trademark Registration service provides assistance and facilitation for registering trademarks with CNIPA. Please note:
- No Guarantee of Registration: We facilitate the application process but cannot guarantee that CNIPA will approve your trademark registration. Registration decisions are made solely by CNIPA.
- Timeline Estimates: Typical registration takes 12-18 months, but this timeline is approximate and may vary based on CNIPA processing times and any objections or office actions.
- Deposit Structure: An initial deposit (currently $125 USD) is required to commence the trademark search. The remaining balance is due after search completion and before application filing.
- Accurate Information: You are responsible for providing accurate trademark details, specimen images, and business information. Errors in your submission may result in application rejection or delays.
- Additional Classes: Registration fees apply per trademark class. Additional classes can be added for an additional fee.
9. Intellectual Property
Our Intellectual Property: All content on this Service, including but not limited to document templates, text, graphics, logos, icons, images, software, and the compilation thereof, is the property of Lewis Behr Consultants Pty Ltd and is protected by Australian and international copyright, trademark, and other intellectual property laws.
License to Use Documents: Upon purchase, you receive a limited, non-exclusive, non-transferable license to use the generated documents for your legitimate business purposes. This license does not include the right to:
- Resell, redistribute, or sublicense the templates
- Remove or alter any proprietary notices
- Use the templates to create a competing service
- Reverse engineer or attempt to extract the template logic
Your Content: You retain ownership of the business information and content you enter into our forms. By using the Service, you grant us a limited license to use this information solely for the purpose of providing the Service to you.
10. User Obligations & Prohibited Uses
When using the Service, you agree to:
- Provide accurate and truthful business information
- Use the Service only for lawful purposes
- Comply with all applicable laws and regulations, including export restrictions
- Not use the Service to facilitate fraud, money laundering, or other illegal activities
You agree NOT to:
- Share your account credentials with others
- Attempt to gain unauthorized access to our systems
- Use automated systems, bots, or scrapers to access the Service
- Interfere with or disrupt the Service or servers
- Circumvent any access controls or usage limits
- Use the Service in any manner that could damage, disable, or impair it
11. Limitation of Liability
Service Provided "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Warranty of Enforceability: We do not warrant that any document generated through the Service will be enforceable in any jurisdiction or suitable for any particular transaction.
Limitation of Damages: To the maximum extent permitted by law, Lewis Behr Consultants Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.
Maximum Liability: Our total liability to you for any claims arising out of or related to the Service shall not exceed the amount you paid to us for the specific service giving rise to the claim in the twelve (12) months preceding the claim.
Australian Consumer Law: To the extent permitted by law, our liability for breach of any consumer guarantee under the Australian Consumer Law is limited to supplying the services again or paying the cost of having the services supplied again.
12. Indemnification
You agree to indemnify, defend, and hold harmless Lewis Behr Consultants Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service or any documents generated through the Service
- Your business activities or transactions conducted using our documents
- Your breach of these Terms
- Any inaccurate or false information you provided
- Your violation of any law or the rights of any third party
13. Dispute Resolution
Informal Resolution: Before initiating any formal dispute resolution proceedings, you agree to first contact us at support@yourlawdocs.com and attempt to resolve the dispute informally for at least thirty (30) days.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law principles.
Jurisdiction: Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
Mediation: Before commencing court proceedings, the parties agree to attempt to resolve disputes through mediation administered by a mutually agreed mediator in Melbourne, Australia.
14. Termination
Termination by You: You may terminate your account at any time by contacting us at support@yourlawdocs.com. Upon termination, your access to the Service will cease, and any unused credits will be forfeited.
Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice, if we believe you have violated these Terms or for any other reason at our sole discretion.
Effect of Termination: Upon termination, the provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
Data Retention: Following account termination, we may retain certain information as required by law or for legitimate business purposes. See our Privacy Policy for details on data retention.
15. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lewis Behr Consultants Pty Ltd regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.
